CONSTITUTION AND BYLAWS
OF THE KENTUCKY
MIDDLE SCHOOL ASSOCIATION
ARTICLE I - NAME
The name of the
organization shall be the Kentucky Middle School Association.
ARTICLE II -
PURPOSE

Section 1.
|
|
The
purpose for which the Kentucky Middle School Association
is organized is educational, within the meaning of
Section 501 (c)(3) of the Internal Revenue Code of 1954,
or the corresponding provision of any future United
States Internal Revenue Law, that is exclusively for
religious, charitable, scientific, literary, and
educational organizations. |

Section 2.
|
|
Notwithstanding any other provision of these articles,
this organization, shall not carry on any other
activities not permitted by an organization, exempt from
Federal Revenue Code of 1954, or the corresponding
provision of any future United States Internal Revenue
Law |
|
Section 3.
|
|
In the
event of dissolution, the residual assets of the
organization will be turned over to one or more
organization which themselves are exempt as
organizations described in Sections 501 (c)(3) and 170
(c)(2) of the Internal Revenue Code of 1954, or
corresponding sections of any prior or future Internal
Revenue Code, or the Federal, State, or Local government
for exclusive public purpose.

Section 4.
|
|
In the
event of dissolution of the Kentucky Middle School
Association, the residual assets of the organization
will be turned over to the National Middle School
Association. |
ARTICLE III - GOALS
|
Section 1.
|
|
To
encourage the involvement of concerned individuals and
groups with the development and growth of the middle
school concept. |
|
Section 2.
|
|
To
share ideas and innovations which are designed to
improve middle level education.
|
|
Section 3.
|
|
To
promote middle level education as a separate and
necessary entity in Kentucky education.
|
|
Section 4.
|
|
To
advocate middle level education in professional and
public discussions that may affect middle level
programs. |
|
Section 5.
|
|
To
support the preparation of teachers, administrators, and
counselors for their role in middle level education.
|
|
Section 6.
|
|
To
sponsor forums and conferences with an emphasis on
middle level topics.
|
|
Section 7.
|
|
To
network on a statewide basis with others interested in
middle level education.
|
|
Section 8.
|
|
To
communicate with the National Middle School Association
through the state association.
|
Membership in the Kentucky Middle
School Association shall be open to all persons and
institutions/groups who have paid association dues and exhibit
an active interest in developing viable educational
opportunities for transient students. There shall be four
classes of membership: individual, institution, student, and
parent membership.
ARTICLE V - DUES
The amount of annual dues for the
Association shall be set by a majority of vote of the Board of
Directors.
ARTICLE VI - MEETINGS

Section 1.
|
|
The
members of the Association shall meet at least once a
year.
|
A.
|
The date and time of the meeting(s) shall be set
by the Board of Directors of the Association.
This meeting(s) shall be conducted during the
state conference.
|
|
B.
|
Questions shall be decided by the majority of
those present and voting.
|
|
|
Section 2.
|
|
Special Meetings. Special meetings for the membership
may be called at the discretion of the Board of
Directors upon petition by twenty-five (25) percent for
the membership. Members of the Association shall be
notified in writing of the date and time of said meeting
not less that one calendar month preceding the date of
the meeting. |
ARTICLE VII - OFFICERS

Section 1.
|
|
The
officers of this organization shall be President,
President-Elect, Vice President, Secretary, and
Treasurer. |
|
Section 2.
|
|
Qualifications of Officers
|
A.
|
All officers shall hold regular individual
membership the Kentucky Middle School
Association.
|
|
B.
|
The President and President-Elect shall have
served for at least one year as a member of the
Executive Committee, the Board of Directors, or
any Association Committee.
|
|
|
Section 3.
|
|
Succession of Officers
|
A.
|
The President-Elect shall succeed the President.
|
|
B.
|
In the event of a vacancy in the office of the
President, the President-Elect shall assume that
office for the unexpired term and shall continue
in that office for the next full term.
|
|
C.
|
In the event of a vacancy in an office other
than President, within sixty days the Executive
Committee shall make recommendations to the
Board for a replacement to be approved by a
majority vote.
|
|
|
Section 4.
|
|
Terms
of Office
|
A.
|
The President and President-Elect shall serve
one-year terms. |
|
B.
|
The Secretary, Treasurer, and Vice-President
shall serve two-year terms.
|
|
C.
|
The terms of officers shall commence July 1 with
the transition of duties to occur at the first
board meeting thereafter.
|
|
D.
|
The President and President-Elect may not
succeed themselves for a three (3) year period.
|
|
|
Section 5.
|
|
Duties
of Officers
|
A.
|
President
1. Shall preside at all meetings of the
Association, the Executive, and the Board of
Directors.
2. Shall call meetings of the Board of
Directors, Executive Committee, and Association.
3. Shall plan and chair all board meetings.
4. Shall collaborate with the administrative
director to prepare the agenda for board
meetings.
5. Shall represent the Kentucky Middle School
Association to community and professional
organization on the local, state and national
levels.
6. Shall serve on state conference planning
committee.
7. Shall appoint, from the membership,
committees, and chairpersons necessary to carry
on the business of the Association.
8. Shall serve as an ex-officio (voting)
member of any committee or commission.
9. Shall prepare a summative end-of-the year
report, including recommendations for the future
of Kentucky Middle School Association, to the
board at the annual summer board meeting,

B.
|
President-Elect
1. Shall serve as parliamentarian.
2. Shall conduct elections in accordance with
the constitution.
3. Shall assist the president.
4. Shall preside at board meeting in the
absence of the president. |

C.
|
Vice President
1. Shall serve a two (2) year term.
2. Shall preside over the board meetins in
the absence of the President or the
President-Elect.
3. Shall act as chairperson of the membership
committee (consisting of all regional directors)
to:
a) Create methods to promote, maintain, and
service membership.
b) Meet in conjunction with the regular board.
c) Give a report at board meetings in relation
to the membership initiatives and updates.
d) Review membership dues annually.
4. Shall be responsible for the membership
booth at the Kentucky Middle School Association
conference. |

D.
|
Secretary
1. Shall keep all minutes and/or tapes of each
board meeting as official record of business.
2. Shall provide the Executive committee with
all Executive Committee minutes.
3. Shall provide the Board of Directors with
minutes of all board minutes.
4. Shall conduct necessary Association
correspondence and other duties as directed by
President, the Executive Committee, and Board of
Directors. |

E.
|
Treasurer
1. Shall promptly receipt and deposit all funds.
2. Shall make disbursements in a timely
manner.
3. Shall keep accurate records of all
receipts and disbursements.
4. Shall have an audit (or compilation) of
books performed by an outside agent to be
presented at the fall board meeting.
5. File tax returns each year.
6. Shall present a budget at the fall meeting
for ratification by the Board of Directors.
7. Shall submit a treasurer's report to the
Board of Directors at each meeting.

ARTICLE VIII - EXECUTIVE COMMITTEE
|
Section 1.
|
|
The
Executive Committee shall consist of the elected
officers of the Association, including the immediate
Past President. |
|
Section 2.
|
|
The
Executive Committee shall act on matters needing
attention between the meeting of the Board of Directors.
|
|
Section 3.
|
|
The
Executive Committee shall function in other ways as
authorized by the Board of Directors.
|
ARTICLE IX - BOARD OF DIRECTORS
|
Section 1. |
|
Membership of the Board of Directors
|
A.
|
The Board of Directors shall consist of the
elected officers of the Association including
the immediate Past President, and one (1)
elected director from each of eight (8) regions.
If a region has not elected a director, then the
Executive Committee shall appoint one.
|
|
B.
|
Regional Directors must work in the regions they
represent and be individual/regular members of
Kentucky Middle State Association.
|
|
C.
|
The Board of Directors may appoint ex-officio,
non-voting members to serve on the Board of
Directors. |
|
|
Section 2.
|
|
The
Board of Directors is charged with the business of the
Association between annual meetings.
|
|
Section 3.
|
|
A
quorum shall be majority of voting board members.
|
|
Section 4.
|
|
Duties
of the Board of Directors
|
A.
|
Shall meet upon call of the President, or at the
request of a majority of the members of the
Board of Directors. |
|
B.
|
Shall be the policy-forming group of the
Association. |
|
C.
|
Shall implement the policies of the Association.
|
|
D.
|
Shall define the duties of all the Committees.
|
|
E.
|
Shall approve the annual budget of the
Association. |
|
F.
|
Shall authorize all non-budgeted expenditures of
the Association. |
|
G.
|
Shall be responsible for ruling on any questions
of constitutional interpretation.
|
|
H.
|
Shall establish procedures for the review and
recall of members of the Board of Directors.
|
|
ARTICLE X - COMMITTEES
|
Section 1.
|
|
The
Board of Directors has the authority to establish
committees as deemed necessary
|
|
Section 2.
|
|
Committees shall consist of a minimum of three (3)
members of the Association.
|
|
Section 3.
|
|
Operational procedure shall be established by each
committee.
|
ARTICLE XI - ELECTIONS
|
Section 1.
|
|
The
election of officers (President-Elect, Vice President,
Secretary, Treasurer, and Regional Directors) shall be
authorized by the Board of Directors.
|
|
Section 2.
|
|
The
President-Elect shall chair an Election Committee to be
approved by the Board of Directors.
|
|
Section 3.
|
|
|
A.
|
The Election Committee shall invite the members
of the Association to submit nominations.
|
|
B.
|
The Election Committee shall certify that
nominees have met the qualifications for serving
on the Board of Directors.
|
|
C.
|
The Election Committee shall receive the consent
and name of candidates for each of the following
offices: President-Elect, Vice President,
Secretary, Treasurer, and Regional Director.
1. The Election Committee shall prepare the
ballot.
2. The Election Committee shall also prepare
a report to accompany the ballot which shall
include information about the candidates and
election requirements.
3. The election will be by secret ballot and
shall be completed prior to June 1.
4. The person/institution eligible to vote
must be a member of the Association prior to
mailing of ballots by the President-Elect.
5. The candidate receiving the highest number
(plurality) of votes shall be elected and
notified.

ARTICLE XII - PARLIAMENTARY AUTHORITY
In the absence of a rule in this
Constitution and Bylaws, Robert's Rules of Order, Newly Revised,
shall be the authority for the conduct of all business of the
Association.
ARTICLE XIII - AMENDMENTS
These Bylaws may be amended by a member
submitting the proposal in writing to the Board of Directors.
The proposed amendment, upon three-fourths (3/4) of the Board
members present and voting, shall be submitted to the membership
by mail ballots. The proposed amendment shall be adopted upon
two-thirds (2/3) vote of those members voting. |
